1. Acceptance of Terms

Welcome to EduAI Canada. These Terms of Service ("Terms") govern your access to and use of the EduAI Canada website located at this domain, including all content, functionality, and services offered on or through the site (collectively, the "Service"). EduAI Canada is operated by EduAI Canada Inc., a corporation registered in the Province of Ontario, Canada, with its principal office at 200 University Avenue, Suite 400, Toronto, ON M5H 3C6, Canada ("Company," "we," "us," or "our").

By accessing or using our Service, you accept and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

You represent and warrant that you are at least 18 years of age or that you are accessing the Service under the supervision of a parent or legal guardian who has agreed to these Terms on your behalf. If you are using the Service on behalf of an educational institution, school board, or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" will refer to that organization.

2. Description of Services

EduAI Canada provides AI literacy training, professional development programs, policy development consulting, AI adoption strategy services, and educational resources designed for educators, students, school boards, and academic institutions across Canada. Our services include, but are not limited to:

  • In-person and virtual professional development workshops for teachers and administrators
  • Curriculum-aligned AI literacy lesson plans and classroom resources
  • AI policy framework development and consulting for school districts
  • AI adoption roadmap design and implementation support
  • Keynote presentations and speaking engagements at educational conferences
  • Privacy impact assessments for AI tools used in educational settings
  • Educator certification programs in AI literacy
  • Free and downloadable educational resources available through our website

The specific scope, deliverables, timelines, and pricing for paid services are defined in separate engagement agreements between EduAI Canada and the contracting institution or individual. These Terms govern your use of the website and publicly available resources; any paid engagement is additionally governed by the applicable service agreement.

3. User Obligations

By using the Service, you agree to the following obligations:

  • Lawful Use: You will use the Service only for lawful purposes and in accordance with these Terms. You will not use the Service in any way that violates any applicable federal, provincial, or local law or regulation in Canada or any other jurisdiction.
  • No Unauthorized Access: You will not attempt to gain unauthorized access to any portion of the Service, any systems or networks connected to the Service, or any server operated by EduAI Canada, whether through hacking, password mining, or any other means.
  • No Scraping or Data Harvesting: You will not use any automated system, including bots, spiders, scrapers, or other automated means, to access the Service for any purpose, including monitoring or copying any of the content or materials on the Service.
  • No Impersonation: You will not impersonate or attempt to impersonate EduAI Canada, an EduAI Canada employee, another user, or any other person or entity.
  • No Interference: You will not engage in any activity that interferes with or disrupts the Service or the servers and networks connected to the Service.
  • Accurate Information: When submitting any form or providing information through the Service, you will provide accurate, current, and complete information.

Violation of any of these obligations may result in immediate termination of your access to the Service without notice.

4. Intellectual Property Rights

The Service and its entire contents, features, and functionality, including but not limited to all information, text, graphics, images, logos, icons, audio and video clips, data compilations, software, workshop materials, lesson plans, policy templates, training modules, and downloadable resources, are owned by EduAI Canada Inc., its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service and its content for your personal, non-commercial, educational purposes only. Educational institutions that have entered into a service agreement with EduAI Canada may use materials in accordance with the terms specified in that agreement.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
  • You may store files that are automatically cached by your web browser for display enhancement purposes
  • You may print or download one copy of a reasonable number of pages for your own personal, non-commercial, educational use and not for further reproduction, publication, or distribution
  • If we provide downloadable resources expressly marked as available for download, you may download a single copy to your device solely for your own personal, educational, non-commercial use

The EduAI Canada name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of EduAI Canada Inc. You must not use such marks without our prior written permission.

5. Disclaimers

The information and materials presented on this Service are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. EduAI Canada disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

EduAI Canada does not warrant or make any representations regarding:

  • The accuracy, reliability, completeness, or timeliness of any information, content, or materials provided through the Service
  • That the Service will be uninterrupted, timely, secure, or free from errors, viruses, or other harmful components
  • That any defects or errors in the Service will be corrected
  • That the results obtained from the use of the Service or any training programs will meet your specific expectations or requirements

The content on this Service is provided for general informational and educational purposes only. It does not constitute legal advice, financial advice, regulatory guidance, or professional consulting. The rapidly evolving nature of artificial intelligence means that tools, best practices, regulations, and standards may change at any time. Schools, districts, and individual educators should consult with their own legal counsel, board advisors, and qualified professionals before making policy decisions or implementing specific AI technologies.

Any reliance you place on information obtained through this Service is strictly at your own risk. EduAI Canada is not responsible for any loss or damage resulting from reliance on information provided through the Service.

6. Limitation of Liability

To the fullest extent permitted by applicable Canadian law, in no event will EduAI Canada Inc., its directors, officers, employees, agents, contractors, licensors, service providers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with:

  • Your access to, use of, or inability to use the Service
  • Any conduct or content of any third party on or related to the Service
  • Any content obtained from the Service
  • Unauthorized access to, use of, or alteration of your transmissions or content

Whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been informed of the possibility of such damage. In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or your use of the Service exceed the greater of (a) the amount you paid to EduAI Canada in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100.00).

Some provinces in Canada do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights as provided under applicable provincial legislation.

7. Indemnification

You agree to defend, indemnify, and hold harmless EduAI Canada Inc. and its directors, officers, employees, agents, contractors, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable legal fees) arising from:

  • Your use of and access to the Service
  • Your violation of any provision of these Terms
  • Your violation of any third-party right, including any intellectual property, privacy, or proprietary right
  • Any claim that your use of the Service caused damage to a third party

This indemnification obligation will survive the termination of these Terms and your use of the Service. EduAI Canada reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

8. Third-Party Links and Resources

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by EduAI Canada. These links are provided for your convenience and reference only. We have no control over the content, privacy policies, or practices of any third-party websites or services, and we assume no responsibility for them.

Inclusion of any link on the Service does not imply endorsement, approval, or recommendation by EduAI Canada of the linked website or its content, products, or services. You acknowledge and agree that EduAI Canada is not responsible or liable, directly or indirectly, for any damage, loss, or alleged damage or loss caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party website or resource.

We strongly advise you to read the terms and conditions and privacy policies of any third-party website or service that you visit or interact with.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. Our Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

We are committed to protecting student privacy and complying with all applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws. Our approach to data handling in educational contexts is detailed in our Privacy Policy and in the specific data processing agreements we establish with contracting institutions.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to any principles of conflicts of law. Any legal action, suit, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of the Province of Ontario, located in the City of Toronto, and you irrevocably submit to the exclusive jurisdiction of such courts in any such action, suit, or proceeding.

If you are accessing the Service from a jurisdiction outside of Canada, you do so on your own initiative and are solely responsible for compliance with local laws to the extent that local laws are applicable. Nothing in these Terms shall be construed as creating any legal relationship between EduAI Canada and any individual or entity located outside of Canada beyond what is explicitly described in these Terms.

11. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service ("Dispute"), you agree to first attempt to resolve the Dispute informally by contacting EduAI Canada at [email protected]. We will make reasonable efforts to resolve any Dispute through good-faith negotiation within thirty (30) days of receiving written notice of the Dispute.

If the Dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration administered by the ADR Institute of Ontario under its arbitration rules then in effect. The arbitration shall take place in Toronto, Ontario, and shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or other proprietary rights.

You agree that any Dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in any class action lawsuit or class-wide arbitration against EduAI Canada to the maximum extent permitted by applicable law.

12. Termination

We reserve the right to suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including but not limited to a breach of these Terms, without prior notice and without liability to you. Upon termination, your right to use the Service will immediately cease.

You may discontinue your use of the Service at any time. If you have an active service agreement with EduAI Canada, termination of your use of the website does not affect the terms of that separate agreement, which will continue to be governed by its own terms and conditions.

All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

13. Changes to These Terms

EduAI Canada reserves the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will provide notice by posting a prominent banner on our homepage for a minimum of fourteen (14) days before the changes take effect. The "Last Updated" date at the top of this page will be revised to reflect the date of the most recent changes.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree to the new Terms, you must stop using the Service. We encourage you to review these Terms periodically for any changes.

For institutional clients with active service agreements, material changes to these Terms will also be communicated directly via email to the primary contact listed in the applicable agreement.

14. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and EduAI Canada regarding the use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and the remaining provisions shall continue in full force and effect.

Waiver: No waiver by EduAI Canada of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by EduAI Canada to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights or obligations under these Terms without our prior written consent. EduAI Canada may freely assign or transfer these Terms without restriction.

Force Majeure: EduAI Canada shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or failures of third-party service providers.
